These Terms of Service ("Terms") govern your access to and use of Dashr.ai's website, platform, applications, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Acceptance of Terms

By creating an account, accessing, or using Dashr.ai's Services, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Dashr.ai provides a security intelligence platform that unifies security operations, compliance automation, and executive reporting. Our Services include, but are not limited to:

• Live security KPI dashboards and monitoring
• Anomaly detection and behavioral analytics
• Risk register management and scoring
• Compliance automation for SOC 2, ISO 27001, HIPAA, PCI DSS, and CIS v8
• Evidence collection and audit-ready documentation generation
• Executive reporting and board-ready security posture views
• Integration with third-party security tools and APIs

3. Account Registration and Security

To use certain features of our Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account
• Not share your account credentials with any third party
• Not attempt to access accounts belonging to other users

4. Use of Services

4.1 Permitted Use

You may use our Services solely for your internal business operations and security management purposes. You agree to use the Services in compliance with all applicable laws and regulations.

4.2 Prohibited Use

You agree not to:

• Use the Services for any illegal, fraudulent, or unauthorized purpose
• Reverse engineer, decompile, or disassemble any part of our platform
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Services
• Upload or transmit any viruses, malware, or harmful code
• Scrape, crawl, or otherwise collect data from our platform without authorization
• Use the Services to compete with Dashr.ai without written consent
• Remove or alter any copyright, trademark, or proprietary notices

5. Data and Security

5.1 Your Data

You retain all ownership rights to the data you input or generate using our Services ("Your Data"). By using our Services, you grant Dashr.ai a limited license to access, process, and store Your Data solely for the purpose of providing and improving the Services.

5.2 Security Measures

Dashr.ai implements commercially reasonable technical and organizational security measures to protect Your Data, including:

• Encryption in transit using TLS 1.3 and at rest using AES-256
• Multi-factor authentication and role-based access controls
• Regular security audits and vulnerability assessments
• Incident detection and response procedures

While we take these precautions, you acknowledge that no security system is impenetrable and we cannot guarantee absolute security of Your Data.

6. Intellectual Property

Dashr.ai and its licensors retain all right, title, and interest in and to the Services, including all software, algorithms, user interfaces, graphics, logos, trademarks, trade secrets, patents, and other intellectual property rights. These Terms do not grant you any rights to use Dashr.ai's trademarks, logos, or branding without our prior written consent.

Dashr.ai holds provisional patent USPTO #63/995,620 for aspects of its security intelligence platform technology. Unauthorized use of our proprietary technology is strictly prohibited.

7. Fees and Payment

7.1 Pricing

Fees for our Services are as described on our pricing page or in your executed service agreement. All fees are exclusive of applicable taxes unless otherwise stated.

7.2 Billing

Unless otherwise agreed, fees are billed in advance on a monthly or annual basis. You authorize us to charge your designated payment method for all applicable fees.

7.3 Free Assessment

Our free assessment is provided at no cost and is intended for evaluation purposes only. Features and data retention during the free assessment period may be limited. We reserve the right to modify or discontinue the free assessment offering at any time.

8. Service Level Agreement (SLA)

Dashr.ai aims to provide high availability for our Services. For paid subscriptions, we target the following service levels:

• Uptime Target: 99.5% monthly uptime for the platform
• Data Refresh: Security metrics refreshed within 24 hours as configured
• Support Response: Business hours support with response targets based on issue severity

Scheduled maintenance windows are excluded from uptime calculations. We will provide advance notice of scheduled maintenance when commercially feasible. Our SLA commitments apply only to paid subscriptions and do not cover free trials or assessments.

9. Termination

9.1 Your Termination

You may terminate your account at any time by contacting us or using the account cancellation feature within the platform. Upon termination, your access to the Services will cease, and we will retain Your Data for a reasonable period in accordance with our data retention policies and applicable legal requirements.

9.2 Our Termination

We may suspend or terminate your access to the Services immediately and without notice if:

• You breach any provision of these Terms
• Your use of the Services poses a security risk or legal liability
• You fail to pay fees when due
• Your account has been inactive for an extended period

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, DASHR.AI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE FROM VULNERABILITIES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DASHR.AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO DASHR.AI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

12. Indemnification

You agree to indemnify, defend, and hold harmless Dashr.ai and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) Your Data; (c) your violation of these Terms; or (d) your violation of any rights of another party.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Delaware, except that either party may seek injunctive relief in a court of competent jurisdiction.

14. Changes to These Terms

We may modify these Terms from time to time to reflect changes in our Services, business practices, or legal requirements. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Dashr.ai regarding the Services and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
